The Services may be provided to you online, in the form of a mobile or desktop application(s), and may be integrated into a third-party service.
The Services allow you to upload, submit, store, share, receive, collect, capture, visualize, and request feedback on your ideas, designs, texts, graphics, videos, data, information, files, presentation decks, or other content, including permitted and authorized third-party content used by you (“Content”). You retain all rights and responsibility for all Content. Cloud Mandarin Ltd Company does not claim ownership of your Content.
The Services are provided to you as the user of the Services by Cloud Mandarin Ltd Company (“Cloud Mandarin Ltd ”, “we”, “us”, or “our”).

Cloud Mandarin Ltd can amend the Terms from time to time. The amended Terms will become effective upon being posted on Cloud Mandarin Ltd ’s website(s), mobile, and/or desktop application(s), or at such later date as may be stated in the amended Terms. Therefore, we recommend that you review the Terms from time to time and take note of any changes. By continuing your use of the Services, you accept the amended Terms. In case of material changes to the Terms, you will be informed prior to the change: (i) at the moment you use the Services, or (ii) by a message to the contact details you provided to us, or (iii) by a posting of the notice of the change on Cloud Mandarin Ltd ’s website(s) and/or on Cloud Mandarin Ltd ’s mobile and/or desktop application(s). Where a user has paid for a subscription package in advance, you shall receive a pro-rated refund for the remainder of your subscription package from the date at which the rejected amended Terms come into effect.
These Terms supersede any and all prior oral and written quotations, terms, communications, agreements, and understandings between you and Cloud Mandarin Ltd .
Cloud Mandarin Ltd File Sharing allows you to share your Content with others.
To share your Content, you need to upload it and provide us with (a limited number of) email addresses of recipient(s) (“email transfer”) or choose to distribute a download link yourself (“link transfer”). If you use link transfer, you will not be informed of any downloads by others. Cloud Mandarin Ltd reserves the right to limit downloads and/or attempted downloads by users for all File Sharing activity. You warrant that you will not use email transfers to send spam or otherwise unsolicited, unlawful, or unwanted Content to the recipients whose email addresses you provide to us.
Cloud Mandarin Ltd File Sharing provides the possibility to upload and share Content up to a maximum total capacity. Uploaded Content is stored on Cloud Mandarin Ltd ’s servers for a limited period of time, after which the ability to download expires. Depending on the transfer type and your subscription, limitations apply.
After the expiry period, Cloud Mandarin Ltd will permanently delete the uploaded files. These files will not be available nor retrievable anymore.
The basic functionality of Cloud Mandarin Ltd File Sharing is (currently) free from registration and charge.
Cloud Mandarin Ltd treats Content as confidential and does not control the use of download links, regardless of whether they are originally distributed by us or by you. Recipients can forward the links and allow others to use them. You are solely responsible for the Content you upload and share.
There are a number of paid subscription packages that offer you a set of additional services and different subscription terms.
Cloud Mandarin Ltd Premium offers you (amongst others) unlimited Cloud Mandarin Ltd File Sharing storage. You will have 5 Terabytes of capacity at your disposal. Should you require more, then you can file a request at [support@Cloud Mandarin Ltd .com](mailto:support@Cloud Mandarin Ltd .com).
Cloud Mandarin Ltd reserves the right to permanently delete Content from your account (including from Portals and Reviews) when you stop interacting with Cloud Mandarin Ltd for a period of at least 12 consecutive months, when you delete your Content from your account, when you cancel your Cloud Mandarin Ltd subscription, or when you delete your account. Full payment of applicable fees is considered to be active use of your account. For more information on Cloud Mandarin Ltd ’s data retention policy, please read our Privacy Policy.
Cloud Mandarin Ltd Teams (“Teams”) allows you to add team members to your paid Cloud Mandarin Ltd account. Team members can be easily added and removed per subscription period.
The start date of the Teams’ paid subscription period is when you have signed up as team owner (“Team Owner”) of the Teams account.

Cloud Mandarin Ltd Present is an (online) magazine that presents creative stories and showcases art, photography, music, and more from around the world. Any content included on Cloud Mandarin Ltd Present is owned by or licensed to Cloud Mandarin Ltd and can only be used with express prior written permission from Cloud Mandarin Ltd .
Cloud Mandarin Ltd offers Cloud Mandarin Ltd Present as a free service. Although care and attention are devoted to the content of our (online) magazine, Cloud Mandarin Ltd cannot warrant that it is always complete and accurate. Cloud Mandarin Ltd disclaims any liability in relation to the use of such content.
Collect allows you to store, organize, share, and receive Content from multiple sources using the Collect Services.
The basic functionality of Collect is (currently) free from registration and charge. The Content you use, share, or receive in the Collect application will be stored on your device and/or on our servers. We are not responsible for any Content stored on your device. Your Content may be lost if you remove your Content from the Collect application, if you remove the Collect application from your device, or if you lose your device.
For additional functionality (such as the “Save to Collect” browser extension), you have to create an account and provide us with your email address and/or other details.
Cloud Mandarin Ltd also offers Collect Pro, which is a paid subscription service that offers a set of enhanced services. This subscription can be purchased as a standalone mobile application.
Cloud Mandarin Ltd reserves the right to permanently delete Content when you stop interacting with Collect, when you delete your Content from the Collect Services, when you delete the Collect Services from your device(s), when you cancel your Collect or Cloud Mandarin Ltd subscription, or when you delete your account. Full payment of applicable fees is considered to be active use of Collect.
Paper allows you to capture your ideas with
tools to sketch, type, paint, draw, etc., using the Paper Services. Any content included in the “journals” (including but not limited to digital workbooks, planners, drawings, tutorials, videos) is owned by or licensed to Cloud Mandarin Ltd and can only be used with express prior written permission from Cloud Mandarin Ltd .
The Content you create with Paper will be stored on your device and not on our servers. Your Content may be lost if you remove your Content from the Paper Services, if you remove the Paper Services from your device, or if you lose your device. If you choose to export any Content and share it with others, it may be stored elsewhere.
The basic functionality of Paper (“Paper Basic”) is (currently) free from registration and charge.
We also offer “Paper Pro”, a paid subscription service that - compared to Paper Basic - offers you a set of premium services.
When your Paper (Pro) subscription is linked to your Apple ID, you are also allowed to store your Paper Content in the iCloud or to synchronize the Paper Content on your device(s) through your iCloud account. The terms and limitations of Apple (including retention policies) may apply in addition to these Terms.
Cloud Mandarin Ltd offers a service that enables certain Cloud Mandarin Ltd users (“Uploaders”) to distribute their Content to others (“Recipients”) and collect payment from them via our integrated third-party payment service provider (“Cloud Mandarin Ltd Paid Transfer”).
Cloud Mandarin Ltd Paid Transfer allows Uploaders to distribute their Content to others and collect payment for it.
Cloud Mandarin Ltd does not offer a marketplace for the sale of Content and is not responsible for the distribution of a link transfer whether via Cloud Mandarin Ltd ’s own services or otherwise. Cloud Mandarin Ltd Paid Transfer solely provides a service that enables Uploaders to share Content that has been uploaded to the service and collect payment for it. Uploaders are responsible for concluding the contract of sale with Recipients and, without limiting the foregoing, are responsible for complying with any applicable laws related to the sale of their Content and for resolving any disputes (if any) with a Recipient directly.
To use Cloud Mandarin Ltd Paid Transfer, an Uploader must upload their Content to the service and choose to distribute a link transfer. The Uploader must set an expiration date for the link transfer, add a price, and share the link transfer with others. Recipients must then click on the link transfer and pay the applicable price for the Content via our third-party payment provider, after which the Recipient will be able to download the Content from our service. Uploaders will be informed of any completed purchases by others. Recipients are responsible for downloading Content prior to the expiry date set by the Uploader and for ensuring safe storage of that Content. Cloud Mandarin Ltd does not retain any copies of Content after the expiry date of the Content set by the Uploader.
As an Uploader, you are solely responsible for the Content you upload, share, and sell. You retain all rights, responsibility, and liability for all Content you upload and distribute via Cloud Mandarin Ltd Paid Transfer. Cloud Mandarin Ltd does not claim ownership of the Content you upload and share via Cloud Mandarin Ltd Paid Transfer. You are solely responsible for sharing the link transfer with potential Recipients.
Any Content you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your Content, but you hereby grant us a limited, worldwide, royalty-free, sublicensable, and transferable license to use, store, and copy that Content and to distribute and make it available for promotional purposes (of Cloud Mandarin Ltd Paid Transfer) by Cloud Mandarin Ltd .
Without prejudice to the other provisions of the Terms (which shall continue to apply to your use of Cloud Mandarin Ltd Paid Transfer), as an Uploader, you agree that:
- You cannot sell Content or use Cloud Mandarin Ltd Paid Transfer in a manner that violates clause 10 (Content ownership, permissions, and responsibility) or 11 (Restrictions) of our Terms, or any other applicable laws.
- By using Cloud Mandarin Ltd Paid Transfer, you warrant that you have, for any Content you create, use, share, and collect payment for using Cloud Mandarin Ltd Paid Transfer, all required permissions (including from copyright and other intellectual property rights owners) to distribute, sublicense, transfer, store, sell and/or make the Content available to all Recipients as part of Cloud Mandarin Ltd Paid Transfer.
- You hereby agree that you will not upload, share, or collect payment for any Content that is false or misleading or use Cloud Mandarin Ltd Paid Transfer in a manner that is fraudulent or deceptive. Cloud Mandarin Ltd is not liable to you or any third party for any damages arising out of or in relation to the Content shared and sold by you within Cloud Mandarin Ltd Paid Transfer, including but not limited to, copyright-protected works and/or trademarks.

Our platform is primarily a file transfer-sharing service that enables anyone to share and distribute content. We are committed to providing a trusted platform that also respects the privacy and safety of all of our users. As part of our ongoing commitment, we have set guidelines in place for you to ensure you’re not violating our policy and understand our approach to moderating content.
You, as the user, are required to comply with all applicable laws and regulations when using our platform. This includes but is not limited to local, national, and international laws governing content, privacy, and intellectual property. Any content that violates these laws and regulations will be promptly removed, and appropriate action might be taken against you.
Simple Speak: Follow the rules. If something you sell or share breaks the law, we'll have to take it down, and there might be consequences for you.
You are strictly prohibited from sharing, selling, or promoting any content that involves hate speech, making threats, or engaging in harassment targeting individuals or groups based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, or disability. You are prohibited from selling content that contains explicit nudity, pornography, or other sexually explicit material. This includes but is not limited to explicit images, videos, or discussions of a sexually explicit nature. We are committed to maintaining a safe and respectful environment for all users and might take action against any reported instances of inappropriate content.
Simple Speak: While we respect your right to sexual freedom, we do not allow you to monetize this type of content on our service. If you use common sense, we promise not to be prudes.
We prohibit the sharing and selling of any real-world violence or content which depicts any acts of cruelty, assault, attacks, or graphic imagery such as abuse towards animals, humans, slaughter, death, or decapitation, and any terror or violent extremist propaganda. We take this matter very seriously and might take action to remove such content and address the responsible user.
Simple Speak: Don't post anything violent or bloody, and definitely don't share anything that encourages violence. We want to keep things safe and gore-free. If you break this rule, your transfer might be removed.
You are prohibited from sharing, selling, or promoting misinformation, which includes fake news, conspiracy theories, and false information. This encompasses any content that presents inaccurate or deliberately misleading information with the potential to deceive or harm individuals or communities. We are committed to maintaining a reliable and trustworthy platform and might take action against any reported instances of misinformation.
Simple Speak: We can all indulge in an argument that the earth is flat, who doesn’t love a good conspiracy theory. That said, there’s a time and a place, and we may remove any content that spreads or promotes deceptive and harmful information.
The sharing, selling, or promotion of content that engages in fraudulent or deceptive activities, including scams, phishing attempts, and pyramid schemes, is strictly prohibited. As is the distribution of content meant to damage or otherwise infect the recipient's system. This encompasses any form of misleading information or activities designed to deceive or defraud others or trick them into downloading malicious software. Such content will be promptly removed, and appropriate action might be taken against the user responsible.
Simple Speak: Don’t use our platform for any criminal activity intended to con, scam, or defraud innocent victims. If you do, we will remove the content and take any actions necessary.
Users are prohibited from sharing or selling content that violates intellectual property rights, such as copyrighted material, trademarks, and patents, without proper authorization or legal entitlement. This includes but is not limited to unauthorized distribution, reproduction, or modification of protected content. We respect intellectual property rights and will promptly address any reported instances of infringement.

You are prohibited from uploading, sharing, selling, or promoting content that encourages or aids in illegal activities, which encompasses but is not limited to drug use, terrorism, and human trafficking. Any such content will be promptly removed, and appropriate action might be taken against you.
Simple Speak: Don’t promote any form of criminal activity. This means no content relating to illegal drugs, any kind of exploitation, and contraband.
Any content that is inappropriate, explicit, or harmful for minors is strictly prohibited. This includes but is not limited to explicit language, graphic images, or adult themes. We are committed to creating a safe environment for all users, including minors.
Simple Speak: We do our part to protect the integrity and safety of minors and expect you to do the same. Please don’t share any content that is harmful to minors.
The sharing and selling of content that employs deep fake technology, AI-generated material, or manipulated media with the intent to deceive or mislead others is strictly prohibited. This includes but is not limited to content that falsely represents individuals, events, or circumstances. Such content will be promptly removed, and appropriate measures might be taken against you.

The sharing, selling, or promotion of content that supports extremist ideologies, hate groups, or terrorist organizations is strictly prohibited. This includes but is not limited to materials that endorse violence, discrimination, or hostility towards specific individuals or groups based on factors such as race, religion, ethnicity, or nationality. Such content will be promptly removed, and appropriate action might be taken against you.

You promise not to sell, share, or promote any content that encourages or promotes self-harm or suicide. This includes but is not limited to explicit instructions, graphic images, or discussions that may incite harm to oneself or others. We strongly oppose the distribution of Child Sexual Abuse Material (CSAM) or any other material depicting or glorifying the exploitation of children. We are unwavering in our commitment to protecting minors and upholding the highest standards of safety and decency on our platform. Engaging in activities related to CSAM will result in immediate account suspension, content removal, and reporting to authorities. We reserve the right to take any additional measures deemed necessary.

You, as a user, must adhere to regional laws and regulations, including any restrictions on specific types of content. We subscribe to the Dutch Notice and Take Down Code of Conduct (“Code”) of the Platform Internet Security (Platform Internetveiligheid). This Code of Conduct establishes procedures for internet intermediaries to deal with reports of (alleged) unlawful content, directed at removal of disputed content (“Report” or “Reports”). This Notice and Take Down Policy (“NTD Policy”) describes the procedures and time limits we apply in dealing with such Reports.
Any person or organization that makes a Report (“Notifier”) has the duty to ensure that it is correct and complete. We should be able to verify that Reports following an investigation regarding a criminal offence have originated from an inspection or investigation service, or – in the case of a formal legal order – from the Public Prosecutor’s Office. A Report of any other nature than the foregoing should include at least the following information:

Notifier might request us to deal with the report as a matter of urgency. In that case, the Report should substantiate all reasons for urgency. We determine at our own discretion whether the report should be dealt with as a matter of urgency based on the foregoing explanation.
We shall evaluate the Report and classify it into one of three categories:
Our categorisation of the Report determines which measures are taken to address the Report.
Categorisation and appropriate measures will preferably take place as soon as possible, yet ultimately 10 days after receiving the Report.
In the events that content is to be removed, we shall exercise due caution to ensure that no more than the necessary content, in regard to the Report, is removed.
